These Terms of Service (“Terms”) govern access to and use of ReviewDesk, a service operated by InfinitIQ Tech LLC (“InfinitIQ Tech,” “we,” “us,” or “our”). By creating an account, accepting an order, or using ReviewDesk, you agree to these Terms. If you use ReviewDesk for an organization, you represent that you have authority to bind that organization, and “you” means that organization.
1. Eligibility and authority
You must be at least 18 years old and legally able to enter an agreement. You may use ReviewDesk only for an organization you are authorized to represent and only with provider accounts, apps, projects, review data, and other content you are authorized to access and process.
2. The ReviewDesk service
ReviewDesk can collect reviews from supported sources, preserve review revisions, normalize and redact detected sensitive patterns, classify and group feedback, identify trends, score priority, route proposed work, and support human or configured Jira workflows. Some features depend on deployment configuration, provider approval, third-party permissions, and an active connection.
ReviewDesk is in development. We may add, change, limit, or discontinue features. Unless a signed order says otherwise, we do not promise a particular availability level, support time, synchronization interval, or feature-release date.
3. Accounts and administrators
You are responsible for accurate account information, protecting credentials, controlling workspace memberships and roles, and all activity under your accounts. Do not share individual credentials or allow an account to be used by an unauthorized person. Tell us promptly at info@infinitiqtech.com if you suspect unauthorized access.
Workspace administrators control provider connections, selected apps and Jira projects, product mappings, automation settings, and user access. Your organization is responsible for administrator actions and for maintaining appropriate internal approvals.
4. Connected services
ReviewDesk may connect to Apple App Store Connect, Google Play, Jira Cloud, and configured Shopify review providers. You authorize us to exchange information with each connected service as needed to provide the features you configure. You must maintain all provider accounts, permissions, notices, consents, and licenses needed for that use.
Connected services are operated by third parties under separate terms. Their APIs, permissions, data, security, pricing, and availability may change. We are not responsible for a third-party service or for loss caused by its suspension, outage, change, or termination. ReviewDesk is designed to fail safely when a connection is unavailable.
5. Customer Content
As between you and InfinitIQ Tech, you retain your rights in Customer Content. You grant us a nonexclusive, worldwide, limited license to host, copy, transmit, transform, display, and otherwise process Customer Content only as needed to provide, secure, maintain, support, and troubleshoot ReviewDesk and to comply with law. This license ends when the content is deleted from our systems, subject to applicable retention periods, backups, legal holds, and records we are legally permitted or required to keep.
You are responsible for Customer Content, the lawfulness of collecting and using it, and any notices or permissions owed to end users. Do not submit content that infringes rights, violates law, or includes credentials, regulated data, or sensitive information that ReviewDesk is not designed or contractually authorized to process.
6. Automated analysis and actions
Classifications, clusters, translations, priority scores, matches, summaries, routes, and Jira drafts are automated outputs. They may be incomplete, delayed, or incorrect. ReviewDesk includes human-review and evidence controls, but you remain responsible for configuration, review, and decisions based on the service, including Jira issues created from ReviewDesk and any suggested action your team carries out.
Do not use ReviewDesk as the sole basis for emergency, safety-critical, legal, employment, credit, medical, or other high-impact decisions. ReviewDesk does not provide legal, security, compliance, or professional advice.
7. Acceptable use
You may not use ReviewDesk to:
- access an account, app, project, review source, or other system without authorization;
- violate law, provider terms, privacy rights, intellectual-property rights, or contracts;
- upload malware, probe or bypass security, interfere with the service, or disrupt another user;
- reverse engineer the service except where law expressly allows it;
- resell or provide ReviewDesk as a service bureau without written permission;
- misrepresent automated output as verified fact; or
- use ReviewDesk to build or train a competing product from non-public aspects of the service.
8. Security and confidentiality
We use reasonable administrative, technical, and organizational measures designed to protect ReviewDesk information. You are responsible for secure devices, appropriate provider scopes, timely removal of former users, and your own systems and exports. No service is completely secure, and you should not use ReviewDesk for data that requires controls we have not agreed to provide in writing.
Any additional confidentiality obligations must be stated in a signed order or separate agreement.
9. Fees and orders
If you sign an order or other written commercial agreement, it will state the applicable fees, plan, term, payment schedule, taxes, renewal, support, service levels, and any refund rights. That document controls if it conflicts with these Terms. If no commercial agreement applies, access may be provided for evaluation or preview and may be limited or ended at any time.
10. Ownership and feedback
InfinitIQ Tech and its licensors own ReviewDesk, including its software, interfaces, designs, documentation, and related intellectual property, except for Customer Content and third-party materials. Subject to these Terms, we grant you a limited, nonexclusive, nontransferable, revocable right to use ReviewDesk during the applicable access period for your internal business purposes.
If you send suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation, provided we do not identify you publicly as the source without permission.
11. Suspension and termination
You may stop using ReviewDesk and disconnect integrations at any time. We may suspend or limit access when reasonably necessary to address a security risk, prevent harm, comply with law or a provider requirement, respond to nonpayment under an order, or address a material breach. We may terminate access if a breach is not cured within a reasonable period, if a connected service makes continued operation impracticable, or as provided in an order.
On termination, your right to use ReviewDesk ends. Customer Content and account records are handled under the Privacy Policy, any applicable order, configured retention operations, backups, and legal holds. Sections that by their nature should survive will survive, including ownership, disclaimers, liability limits, indemnity, and dispute terms.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVIEWDESK IS PROVIDED “AS IS” AND “AS AVAILABLE.” INFINITIQ TECH DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT REVIEWDESK WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR ACCURATE, OR THAT IT WILL IDENTIFY EVERY REVIEW, ISSUE, DUPLICATE, SENSITIVE DETAIL, OR CORRECT ACTION.
Some jurisdictions do not allow certain disclaimers, so portions of this section may not apply to you. Nothing in these Terms excludes rights that cannot lawfully be excluded.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
EACH PARTY’S TOTAL LIABILITY ARISING OUT OF REVIEWDESK OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR REVIEWDESK DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR US$100.
14. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless InfinitIQ Tech and its officers, employees, and contractors from third-party claims, damages, losses, and reasonable costs arising from Customer Content, your connected-service permissions or actions, your violation of law or these Terms, or your infringement of another party’s rights. We will promptly notify you of a covered claim and reasonably cooperate in the defense. You may not settle a claim in a way that admits fault by or imposes obligations on us without our written consent.
15. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules. The state and federal courts located in Suffolk County, Massachusetts will have exclusive jurisdiction over disputes arising from these Terms or ReviewDesk, and each party consents to that jurisdiction and venue. Before filing a claim, each party agrees to give the other written notice and make a good-faith effort to resolve the dispute informally for 30 days, unless urgent injunctive relief is needed.
16. Changes to these Terms
We may update these Terms to reflect changes to ReviewDesk, law, or our business. We will post the updated Terms and change the effective date. If a material change adversely affects an existing customer, we will provide reasonable notice through the service, account contact, or another appropriate channel. Continued use after the effective date of the updated Terms means you accept them, except where law or an order requires a different process.
17. General
These Terms, the Privacy Policy, and any applicable order are the complete agreement about ReviewDesk and replace prior discussions about their subject matter. You may not assign these Terms without our written consent, except in connection with a merger or sale of substantially all your assets. We may assign them as part of a reorganization, merger, acquisition, or sale of assets. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain in effect. The parties are independent contractors.
